RES International Inc. Debenture Financing and Restructuring

PRESS RELEASE

MAY 23, 1997 OTTAWA: Mr. Rolf Schliewen, Chairman of the Board of Directors, is pleased to announce the appointment of Mr. Joe Macies as President and CEO. Mr. Macies will have full responsibility to restructure and spearhead the Company's software development and commercialization initiatives, and to position RES as a major developer and distributor of electronic commerce software products.

Mr. Macies' track record and accomplishments in the High Tech industry are well known. He served as Chief Operating Officer at Synerlogic, a technology company wholly-owned by Andersen Consulting and as a partner at Andersen Consulting between 1985 and 1996.

The Company has completed a $1.5 million convertible debenture financing with private investors, and this financing will be used to eliminate its bank debt and to substantially improve its working capital position.

Mr. Macies plans to devote the net proceeds of this financing to the continued development and enhancements of the Company's electronic commerce purchasing products: Bazar Cybermall and Bazar Purchaser. Both these products have been selected by the Hierapolis Corporation, a National Capital Region Corporation established to develop the Information Highway for five municipalities in West Quebec. Among the industry partners of Hierapolis are major companies such as Digital Equipment of Canada and Groupe Vidéotron.

Bazar Cybermall, a community-based "one-stop" solution for shopping and information services for the general public through the Internet, will be installed in the second week of June, 1997, at the Hierapolis site located at the Museum of Civilization in Hull, Quebec.

RES is traded on the Canadian Dealing Network (CDN) under the symbol RESZ. The company has about 30,000,000 shares outstanding. If the debenture is fully converted into shares (up to 15,000,000) there will be no effect on control.
